1. Agreement and eligibility
These Terms and Conditions (“Terms”) form a binding agreement between you and the operator of Yavisynker identified in your account, checkout, receipt, or other service communication (“Yavisynker,” “we,” “us,” or “our”). They apply to the website, account service, desktop software, downloads, billing, device-connection services, and related features (together, the “Service”).
By creating an account, downloading or using the software, starting a trial, or purchasing a subscription, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.
You must be legally capable of entering a contract and at least the age of majority in your location. If you use the Service for an organization, you represent that you have authority to bind it, and “you” includes that organization. Mandatory consumer rights in your location are not excluded or limited by these Terms.
2. How the Service works
Yavisynker coordinates direct synchronization among devices registered to the same account. File manifests and content blocks travel over authenticated, encrypted device-to-device connections. The control service manages accounts, registered device identities, short-lived presence and connection setup, billing, referrals, and installer access.
The Service is not a cloud drive, archival repository, or guaranteed backup.
- No persistent server copy of active synchronized file content is created.
- At least one device that holds the needed data must be online and directly reachable.
- Some network or firewall configurations may prevent a direct connection, causing sync to wait.
- Changes, deletions, and conflict copies may propagate among participating devices.
- Features, limits, connectivity methods, and supported platforms may change as the Service develops.
The Service does not promise continuous availability, a particular transfer speed, successful traversal of every network, or recovery of a file that no reachable device retains. See How it works before relying on synchronization.
3. Accounts, credentials, and registered devices
- Provide accurate registration and billing information and keep it current.
- Use a strong, unique password and protect your browser sessions and operating-system account.
- Keep private device keys, recovery material, and authentication tokens confidential.
- Register only devices you own, control, or are authorized to administer.
- Promptly remove lost, transferred, or compromised devices and report suspected account misuse.
You are responsible for activity performed through your account unless applicable law provides otherwise. Every registered device is part of the same sync trust domain: it can receive synchronized filenames and content and may introduce authorized changes. Yavisynker may reject a device whose identity unexpectedly changes rather than silently trusting a replacement key.
4. Software license and updates
Subject to these Terms and your applicable plan, Yavisynker grants you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the desktop software on the number of devices allowed by your account. The software is licensed, not sold.
You may not copy, resell, rent, sublicense, distribute, circumvent technical restrictions, or reverse engineer the Service except to the limited extent such a restriction is prohibited by applicable law. You may make reasonable backup copies of the installer for your own authorized use.
The desktop software may check for and install security, compatibility, or feature updates. Some updates may be required to continue using the control service or connecting safely to other devices.
5. Acceptable use
You must not use or attempt to use the Service to:
- break any law, regulation, court order, or third-party right;
- synchronize content you are not authorized to possess, copy, or distribute;
- distribute malware, exploit code, unlawful surveillance material, or content intended to harm others;
- gain unauthorized access to another account, device, network, key, or system;
- probe, overload, disrupt, evade rate limits, automate abusive registrations, or interfere with service integrity;
- misrepresent identity, manipulate billing or referral qualification, or obtain credits through self-referral, duplicate accounts, collusion, or automation;
- remove proprietary notices or use Yavisynker branding in a misleading way; or
- help another person do any of the above.
You are responsible for ensuring that your use, including workplace or team use, complies with privacy, employment, records-management, export, intellectual-property, and sector-specific obligations that apply to you.
6. Free trial, subscriptions, cancellation, and taxes
Free trial
Eligible new accounts currently receive a 30-day trial for up to two devices without providing a payment card. A trial starts when the account is created. Unless trial access is extended through a valid referral reward or another written offer, synchronization access stops when the trial expires. Local files are not deleted.
Paid plans and renewal
Current monthly prices, currencies, device allowances, and plan features appear on the Pricing pageand in checkout. By starting a paid subscription, you authorize Stripe and Yavisynker to charge the selected recurring amount, plus applicable taxes, using your chosen payment method until cancellation. Subscriptions renew automatically for successive billing periods unless canceled.
Changes, failed payments, and cancellation
We may change prices or plan features prospectively with reasonable notice when required. A price change applies no earlier than a future renewal unless you affirmatively accept an immediate plan change. If payment fails, is reversed, or becomes overdue, synchronization may be paused while local files remain unchanged.
You can cancel through the Stripe billing portal available from your account. Unless checkout or applicable law states otherwise, cancellation takes effect at the end of the current paid period and does not retroactively refund charges already incurred. Refunds, cooling-off rights, and statutory remedies remain available where required by law. You are responsible for taxes, duties, and charges not collected at checkout.
7. Referral program
Referral rewards are a limited personal benefit for eligible free-trial and paid Nova member accounts. A referral qualifies only after the referred account uses the referral link and completes a successful synchronization between two distinct registered devices. A signup alone does not qualify.
- An eligible trial account currently receives 30 additional access days per valid referral.
- An eligible active paid Nova account currently receives a USD 5 credit toward a future Nova invoice per valid referral.
- A maximum of 11 referral rewards may be earned over the lifetime of an account.
- Orbit, Nexus, Infinity, administrative, owner, complimentary, and otherwise ineligible accounts do not earn new referral rewards.
- Rewards have no cash value, cannot be transferred, and may not be combined or exchanged except as expressly stated.
We may withhold, reverse, or cancel a reward affected by fraud, duplicate or self-controlled accounts, chargeback, manipulation, technical error, unlawful promotion, or a violation of these Terms. We may modify or end the referral program prospectively, while respecting earned credits to the extent required by law.
8. Your files, permissions, and backups
As between you and Yavisynker, you retain ownership of files and content you synchronize. You grant the Service only the limited permission needed to scan local changes, prepare manifests and blocks, make direct transfers to your authorized devices, reconcile changes, and perform related security and support functions.
You represent that you have the rights and permissions needed to synchronize the content and make it available to every participating device or user. Yavisynker does not review or control file content that moves directly between your devices.
Keep an independent, tested backup of important files. Synchronization can replicate an accidental edit or deletion and is not a substitute for versioned offline or cloud backup. Before removing a device, resetting local configuration, changing accounts, or uninstalling software, confirm that another safe copy exists and is accessible.
9. Third-party services and links
The Service may rely on or link to third parties, including Stripe for hosted payments and billing management, hosting and network providers, and a STUN provider for public-address discovery. Their services and privacy practices are governed by their own terms. Yavisynker is not responsible for an independent third party's content, availability, or conduct, but this does not limit responsibility that cannot lawfully be excluded.
10. Suspension and termination
You may stop using the Service at any time and may cancel a subscription as described above. Uninstalling the desktop application does not automatically cancel a subscription or delete the service account.
We may limit, suspend, or terminate access where reasonably necessary to address nonpayment, plan limits, security risk, illegal or abusive conduct, material breach, provider or legal requirements, or discontinuation of the Service. When practical and lawful, we will provide notice and a reasonable opportunity to cure a remediable breach.
Ending access stops future synchronization but does not normally delete files already stored in your local folders. Provisions that by their nature should survive—including payment obligations, intellectual-property rights, disclaimers, liability limits, dispute terms, and accrued rights—continue after termination.
11. Disclaimers and limitation of liability
To the fullest extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that every network pair can connect, that every change will synchronize by a particular time, or that the Service will recover lost data.
To the fullest extent permitted by law, Yavisynker and its operator, personnel, and suppliers will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages; loss of profits, revenue, goodwill, opportunity, or data; or the cost of substitute services, arising from or related to the Service.
To the fullest extent permitted by law, total aggregate liability arising from the Service will not exceed the greater of (a) the amount you paid for the Service during the 12 months before the event giving rise to the claim or (b) USD 50. These exclusions and limits do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, breach of non-waivable privacy obligations, or any liability that applicable law does not permit us to exclude or limit. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
12. General terms, changes, disputes, and contact
Changes to these Terms
We may update these Terms to reflect Service, business, security, provider, or legal changes. Material changes will be communicated through the Service or another reasonable channel before taking effect when required. Continued use after the effective date constitutes acceptance where permitted; if you do not agree, stop using the Service and cancel before the new terms apply.
Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which the Service operator identified in your checkout, receipt, or account communication is established, without regard to conflict-of-law rules. Courts in that jurisdiction will have non-exclusive authority over disputes, unless mandatory consumer law gives you the right to bring a claim elsewhere. Before filing a formal claim, each party should make a good-faith effort to resolve the issue through the operator's published support channel.
Entire agreement and severability
These Terms, the Privacy Policy, checkout disclosures, and any plan-specific terms presented to you form the agreement for the Service. If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign the agreement without consent; we may assign it as part of a reorganization or transfer of the Service, subject to applicable law.
